CLIENT CONTRACT FOR DIGITAL MARKETING SERVICES

This Client Contract is entered into between ("Client") and Dive in 2 Digital ("Company"), collectively referred to as the "Parties."

Scope of Services

The Client hereby engages the Company to provide digital marketing and creative services as outlined below:

Marketing Plan

• Influencer Marketing 
• Social Media Marketing on Instagram, Facebook & Yt Shorts. ( Upto 6 Reels & 15 post per month)
• Shopify Website Maintenance   
• Performance Marketing on Meta, along with Creative Generation and Management.

Contract Term

This contract shall commence on the date of signing and shall remain in force for a period of six months.

If the Client wishes to terminate this Agreement (or any individual service component) before the completion of the 6-month term, the Client shall:
- Provide 28 days written notice, AND
- Pay an early termination fee equivalent to the left over period

Commercials

• Marketing : Rs 22,000/- (monthly)

• Addon: 10% of the Net Sales 

Payment Terms

The monthly payment is due on or before the 5th of each month. A late fee of 5% per week will be applicable for any delayed payment.

All intellectual property rights related to graphics, designs, content, and campaigns created or provided by the Company shall remain the exclusive property of the Company unless otherwise agreed in writing.

Confidential Data Usage & Portfolio Rights

The Company acknowledges the value of the Client's logo and non-confidential data and will use them responsibly.
The Client grants permission for the Company to feature their:

• Logo

• Non-confidential results

• Campaign outcomes in portfolio items like case studies, presentations, or website showcases.

All confidential/proprietary information will remain protected and will not be disclosed without explicit written consent.

Limitation of Liability

The Company’s liability for any damages arising from services under this Contract is limited to the total amount paid by the Client.
The Company is not responsible for indirect, incidental, or consequential damages.

Note: All service charges are exclusive of 18% GST (Goods and Services Tax) / VAT.
