CLIENT CONTRACT FOR DIGITAL MARKETING SERVICES

This Client Contract is entered into between ("Client") and Dive in 2 Digital ("Company"), collectively referred to as the "Parties."

Scope of Services:

The Client hereby engages the Company to provide digital marketing services as outlined below:

• Social Media Management
• Performance Marketing
• Influencer Marketing
• Content Creation for Social Media
• Basic Photography & Editing for Ads

The Company will work collaboratively with the Client to execute a comprehensive digital marketing strategy focused on driving brand awareness and increasing online sales.

Contract Term:

This Contract shall commence from the date of signing and continue for a period of six (6) months unless terminated earlier in accordance with the provisions of this Contract.

Monthly Service Fee:

• Rs 15,000 per month + 5% commission on net sales.

Payment Terms:

• The monthly service fee of Rs 15,000 is due on or before the 5th day of each month.
• Late payments shall incur a penalty of 5% per week from the 5th day of the month until the outstanding payment is received.

Bond and Opt-Out Clause:

The Client agrees to a six-month commitment from the date of signing. Early termination will require the Client to pay the remaining balance for the full term.

Intellectual Property:

All intellectual property rights related to the digital marketing materials, including but not limited to graphics, content, designs, and marketing campaigns, developed or provided by the Company as part of the services shall remain the exclusive property of the Company unless otherwise agreed upon in writing.

Confidential Data Usage and Portfolio Rights:

The Company acknowledges that the Client's logo and non-confidential data hold significant value and agrees to exercise utmost care and discretion in their usage. The Client grants permission for the Company to include their logo and non-confidential data in portfolio materials, such as case studies, presentations, or website content, to showcase the Company’s expertise and promote its services. The Client’s proprietary and confidential information shall remain safeguarded and will not be disclosed without explicit consent.

Termination:
Either Party may terminate this Contract with 28 days' written notice, with the Client required to pay for all services rendered and any outstanding fees up to the termination date.

Limitation of Liability:
The Company’s liability for any damages related to services under this Contract is limited to the total amount paid by the Client, excluding any indirect, incidental, or consequential damages.

This Contract constitutes the entire agreement between the Parties and supersedes any prior understanding or agreement, whether written or oral, relating to the subject matter herein. Any modifications to this Contract must be made in writing and signed by both Parties.

Note: All service charges are exclusive of 18% GST (Goods and Services Tax).
